Bylaws
Purpose:
Business Aviation Network (BAN) is a business aviation networking group. The focus of this organazation is to foster and develop the business growth of members and there companies. The intent is to foster business and personal development of members through mutual support and educational opportunities; realizing that the only path to success is through the activities of each individual member, and at the individual pace of each. The guidelines by which this group is to operate include, but are not necessarily limited to the following:
Ethics and Obligations:
A set of moral principles or values; the principles of conduct that govern individuals and companies in BAN.
As a networking organazation, certain expectations are hereby made explicit:
All members will conduct themselves in an honest and ethical manner at all times. Never to taint or jeopardize the reputation of Business Aviation Network.
Follow-up in a timely manner on referrals received, deliver promised quality and pricing.
Maintain high standards of integrity in business conduct.
Join and actively support a The Business Aviation Network local chapter if one is established in your area.
If a member business is found to have misrepresented itself (i.e. if he/she does not do what they originally declared as a business, or found to be part time, misleading or fraudulent) that person will be asked to leave the group.
Will never publicly slander or defame the name or reputation of the Business Aviation Network, or any of its members.
Any information discussed of a confidential nature pertaining to a fellow member’s business, private life or the functioning BAN itself shall be held in the strictest of confidence within the BAN group.
Admission:
Prospective members must be a member of the Business Aviation Nework group on LinkedIN.com or a registered member of the BusinessAviationNetwork.net website.
Membership:
Membership Fees:
Fee structure and amounts shall be determined by BAN Officers and are subject to change. Memberships are for a period of one year from the date paid, and are due in advance.

Membership growth:
All members understand that it is in the best interest of the network and all of the members to maintain good quality of membership, and to have an expansive, organically grown network of referring partners. Each member agrees to share information about BAN with other quality members of the business aviation community.
All members hereby expressly release, hold harmless and indemnify The Business Aviation Network, its owners and officers from any and all liability and responsibility stemming from actions/services, whether negligent or not, that are performed by the members of BAN.
MEETINGS
Meeting participation:
There are no mandatory meeting requirements. Members are encouraged to attend and participate in meetings as this will have a direct impact on the results they experience.
Regular meetings of the membership shall be held approximately every 3 months or as determined by the Chapter Management and by the approval of the officers of BAN. Meeting days and times shall be determined by a vote of the Chapter members.
Members are allowed to bring guests/prospective members to BAN meetings and events – Number of guests per meeting is limited due to seating capacity- Please contact the local chair prior to the meeting to verify seating arrangements.
Active participation is required!!
Member Termination
The Executive Director and the Executive Committee will review any BAN member who is found to be operating his/her business in an immoral or unethical manner. Any finding of wrongdoing will result in censure or dismissal from the group as ruled on by the Executive Committee. All acts of discipline must be approved by a unanimous vote of the Executive Committee.
Officers:
Officer positions are: Executive Director, Vice President.
Role of the Executive Director:
The role of the Executive Director is to design, develop and implement strategic plans for the organization in a cost-effective and time-efficient manner. The Executive Director is also responsible for the day-to-day operation of the organization, including managing committees and staff and developing business plans in collaboration with the Executive Committee. The Executive Director reports to the Executive Committee on a quarterly basis. The Executive Committee may offer suggestions and ideas about how to improve the organization, but the Executive Director decides whether or not, and how, to implement these ideas.
Role of the Vice President
The role of the Vice President. In the absence of the Executive Director, the Vice President shall perform any and all of the duties of the Executive Director and shall have such other powers and perform such other duties as Executive Director shall direct. Further, it shall be the duty of the Vice President to monitor all business throughout the year to ensure that it is conducted in accordance with BAN By-laws
Executive Committee:
The Executive committee will consist of members who serve on a voluntary basis. The purpose of the Executive committee is to provide advice and direction for BAN on various issues or decisions that need to be made.
BAN LOCAL REGION OFFICERS
Each local Chapter shall have a President, Vice President. They shall serve for a term of one year and hold office until their successors are duly elected and qualified. However, they shall not hold office for more than two consecutive terms, nor shall any person hold more than one office at a time.
Duties:
The President shall preside over all meetings, assist the officers of BAN with the day to day operation of the chapter. The President will provide guidance and leadership to their Chapter and oversee its overall operation.
The Vice President shall, in the absence of the President, have all the powers and perform all the duties of the President with regard to the Chapter meeting and membership. The Vice President shall assist the President in any capacity necessary to benefit the Chapter which is in accordance with the bylaws.
The Membership Director shall be responsible for greeting/welcoming new members, assisting the BAN Chapter membership growth and assisting the Vice President with duties necessary for the benefit of the Chapter which are in accordance with the bylaws.
